Data Subscription Terms

DataEngite Marketplace Legal Terms

These terms (“Terms”) govern Subscriber’s use of datasets provided by DataEngite LLC (“DataEngite”) via the Snowflake Marketplace. By subscribing to or accessing a DataEngite dataset, Subscriber agrees to be bound by these Terms in addition to the Snowflake Marketplace Standard Agreement.

 
1. License Grant

DataEngite grants Subscriber a non-exclusive, non-transferable, revocable license to access and use the dataset(s) solely for Subscriber’s internal business purposes during the active subscription term.

 
2. Restrictions

​

  • No Redistribution: Subscriber shall not resell, redistribute, sublicense, publish, or otherwise disclose the dataset (or derivatives) to any third party without DataEngite’s prior written consent.

  • No Indefinite Retention: Subscriber shall not store, archive, or retain the dataset beyond the subscription term. Any indefinite retention requires a separate written agreement with DataEngite.

  • No Third-Party Use: Use of the dataset in any external-facing product, service, or platform is prohibited unless expressly authorized in writing.

  • Copying / Materialization: Copying, exporting, or materializing the dataset (e.g., via CREATE TABLE AS SELECT) is permitted only for the Subscriber’s internal use and remains subject to these restrictions.

 
3. Compliance With Laws

 

Subscriber agrees to use the dataset in compliance with all applicable laws and regulations, including but not limited to:

  • General Data Protection Regulation (GDPR) (EU)

  • California Consumer Privacy Act (CCPA/CPRA) (California, USA)

  • U.S. federal and state environmental, health, and safety regulations

  • Any other jurisdiction-specific privacy and data protection requirements.

 
4. Ownership & Intellectual Property

All rights, title, and interest in the dataset(s), including DataEngite’s proprietary transformations, enrichment, and scoring models (e.g., Compliance Risk Score), remain the exclusive property of DataEngite. No ownership rights are transferred to Subscriber.

 
5. Disclaimer of Warranties

​

The dataset(s) are provided “as is” without warranties of any kind, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. DataEngite does not guarantee completeness of underlying source data (e.g., U.S. EPA SDWIS/ECHO).

 
6. Limitation of Liability

In no event shall DataEngite be liable for indirect, incidental, consequential, or punitive damages arising from use of the dataset(s). The subscriber assumes sole responsibility for analyses, decisions, and outcomes derived from the dataset(s).

 
7. Termination

​

DataEngite may suspend or terminate access to the dataset(s) in the event of breach of these Terms. Upon termination or expiration of the subscription, Subscriber must cease using and purge all copies of the dataset(s), unless otherwise agreed in writing.

 
8. Governing Law

​

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict-of-laws principles.
